Member Terms and Conditions

Effective January 1, 2023

Chukar Chasers Foundation, a 501(c)(3) nonprofit organization (hereinafter "CCF"), provides youth opportunities specific to upland hunting and hunting education, as well as exposure to the uplands and wildlife conservation. CCF memberships are available for purchase by individuals (“Individual Members”) and business entities (“Business Members”) for the annual benefit of CCF, as well as lifetime memberships for purchase by individuals or business entities (“Lifetime Members”) for the lifetime benefit of CC (collectively, the "Members").

Applicability; Acceptance. These Membership Terms and Conditions ("Terms") and any applicable supplements thereto (collectively the "Agreement") is between the purchaser of a CCF membership ("Member"), and CCF (together, the "Parties"). For clarity, references to the singular in the Agreement include the plural and vice versa. Further, by purchasing, Member acknowledges and agrees to be bound by the Agreement. Member further acknowledges CCF’s unrestricted right to revoke Member’s CCF membership for Member’s failure to abide by the Agreement.

1. Term

1. Individual Member and Business Member. Unless otherwise provided herein, the term of this Agreement (the “Initial Term”) commences on the date Member purchases an annual CCF Membership (as outlined in Section 4) and continues for a period of one (1) year. Thereafter, the Agreement will only be renewed through a renewal, purchased by an Individual Member or Business Member.
2. Lifetime Member. Unless otherwise provided herein, this Agreement commences on the date Member purchases a lifetime CCF Membership (as outlined in Section 4) and last perpetually.

2. Termination

1. Termination by Member. Member may terminate this Agreement prior to the end of the then-current term by emailing CCF: foundation@chukarchasers.com, but there will be no refunds. 
2. Termination by CCF. CCF may terminate this Agreement with or without cause by directly emailing the Member. Additionally, CCF may terminate this Agreement and revoke Member’s CCF membership along with any permissions hereunder immediately upon a Member’s material breach of the Agreement. A material breach of the Agreement includes, but is not limited to, Member’s failure to fulfill its payment obligations, Member’s violation of Section 5 relating to Membership Conduct, and Member’s violation of CCF intellectual property, including the CCF Name and Logo, or any name and logo specific to Chukar Chasers ® as detailed in Section 6.

3. No Refunds. CCF shall not be responsible for a refund of any fees, dues, course or certification fees or costs, expenses, and charges paid by the Member or Corporate Member prior to termination of this Member’s membership.

4. Membership Benefits, Models and Pricing. CCF Members receive benefits associated with their respective membership as may be identified from time-to-time by CCF.

1. Annual Individual Member. $100.00 / year
2. Annual Business Member. $1,000.00 / year
3. Lifetime Member. $500.00

5. Membership Conduct. CCF is an upland nonprofit organization. Member’s membership in CCF may include industry partnership benefits, and at no time include a license to the CCF name and logo, nor Chukar Chasers® name and logo as described herein. In the event the CCF receives any complaints from other CCF members/non-members regarding. Member’s conduct, actions, communications and/or activities related to the CCF in any way; such complaint(s) may result in immediate termination of Member’s membership, by CCF in its sole discretion.

6. Intellectual Property. Chukar Chasers, LLC (“Chukar Chasers”) owns the trade name “Chukar Chasers” and trademark of its logo (“Intellectual Property”), licensed to CCF. At no time during the Term of this Agreement does CCF grant Member a license to use any Intellectual Property. Member agrees that CCF Name and Logo may not be otherwise used, copied, reproduced or altered in any manner, except for Business Members who may display the CCF Name and/or Logo anywhere on its website providing recognition to its association as a Member.

1. Nothing in these Terms and Conditions, shall give Member any rights whatsoever in the Intellectual Property, CCF’s name, or in any similar marks, beyond the rights granted in these Terms and Conditions.
2. The Intellectual Property may not be used in any way as to represent an endorsement or certification by CCF of any product or service offered by Member. Nothing in this Agreement shall confer any endorsement or approval of Member’s products or services or of Member.
3. Members are expressly prohibited from utilizing the Intellectual Property for any purpose not permitted in this Agreement, including copying the Intellectual Property.
4. The Intellectual Property is protected by trademark and copyright laws and international trademark and copyright treaties, as well as other intellectual property laws and treaties and contain intellectual property exclusive to Chukar Chasers and/or CCF. All right, interest, title to, and ownership and intellectual property rights in, the Name and/or Logo and all copies remain with Chukar Chasers.

7. Disclaimer of Warranties. CCF MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO ANY SERVICES, PRODUCTS OR OBLIGATIONS ARISING UNDER THIS AGREEMENT, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; OR (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.

8. Limitation of Liability. IN NO EVENT SHALL CCF BE LIABLE TO MEMBER OR TO ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT OR LOSS OF DATA OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT CCF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.

9. Waiver. No waiver by CCF of any of the provisions of this Agreement is effective unless explicitly set forth in writing and signed by CCF. No failure to exercise, or delay in exercising, any rights, remedy, power or privilege arising from this Agreement operates or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.

10. Assignment. Member shall not assign any of its rights or delegate any of its obligations under this Agreement without the prior written consent of CCF. Any purported assignment or delegation in violation of this Section is null and void. No assignment or delegation relieves Member of any of its obligations under this Agreement.

11. Governing Law and Fees. Although never anticipated, any matter arising out of or relating to this Agreement shall be governed by and construed in accordance with the internal laws of the State of Nevada, with the prevailing party of any dispute being awarded their reasonable attorney’s fees and costs.
